About the Course

Upstream petroleum activities are governed by complex contractual arrangements that determine how exploration and production rights are granted, investment risks and obligations are allocated, petroleum revenues are shared, and relationships between host governments, national oil companies, international oil companies, operators, and joint venture partners are managed. From concession and licensing arrangements to Production Sharing Contracts, service contracts, and Joint Operating Agreements, each contractual model establishes distinct legal, commercial, fiscal, and operational obligations that can significantly influence project economics and the long-term viability of upstream investments. Professionals involved in these arrangements therefore require a thorough understanding of how contractual structures and key provisions operate throughout exploration, development, production, and eventual decommissioning.

This 5-day Upstream Petroleum Contracts training course equips delegates with practical knowledge and an advanced understanding of the principal agreements used across international exploration and production activities. Delegates will strengthen their ability to analyse concession and licensing arrangements, Production Sharing Contracts, service contracts, Joint Operating Agreements, farm-in and farm-out agreements, and unitisation arrangements. It also examines petroleum fiscal provisions, cost recovery, production sharing, government take, work programmes and budgets, operatorship, voting and decision-making, transfers of participating interests, stabilisation, force majeure, decommissioning obligations, and dispute resolution. Delegates will develop the contractual and commercial insight required to interpret, negotiate, and manage upstream petroleum agreements effectively while protecting organisational interests and supporting successful exploration and production activities.

Core Objectives

The delegates will achieve the following objectives:

  • Analyse the principal contractual structures governing international upstream petroleum activities
  • Differentiate concession and licensing arrangements, Production Sharing Contracts, and service contract models
  • Evaluate fiscal and commercial provisions governing royalties, cost recovery, production sharing, taxation, and government take
  • Interpret Joint Operating Agreements and the contractual rights and obligations of operators and non-operators
  • Examine farm-in, farm-out, assignment, transfer, and unitisation arrangements used in upstream petroleum transactions
  • Assess key contractual provisions governing stabilisation, force majeure, decommissioning, default, termination, and dispute resolution
  • Negotiate and manage upstream petroleum contracts to protect commercial interests and support effective exploration and production activities
Training Approach

This training course combines expert presentations, upstream petroleum contract reviews, international case studies, contractual clause analysis, fiscal and commercial exercises, Production Sharing Contract applications, Joint Operating Agreement scenarios, farm-in and farm-out examples, negotiation exercises, and facilitated problem-solving sessions. Delegates will analyse realistic upstream contractual arrangements and commercial issues, enabling them to strengthen contract interpretation, fiscal analysis, risk assessment, negotiation, and contract management capabilities.
